Article IV Board of Directors
Section 4. Vacancies and Absences
Any vacancy occurring in the board of directors by reason of the resignation, death, or disqualification of an officer or elected member may be filled, until the next annual meeting, by a majority vote of the remaining members of the board of directors. Two consecutive absences, or three total absences, from board meetings by any member, without a valid reason, may be deemed a resignation. Continued absences should be referred to the executive committee for investigation and action.
Section 5. Powers and Duties
The board of directors shall have full charge of the property and business of the organization, with full power and authority to manage and conduct same, subject to the instructions of the general membership. It shall plan and direct the work necessary to carry out the program as adopted by the national convention, the state convention, and the annual meeting. The board shall create and designate such special committees as it may deem necessary.
Section 6. Exercise of Duties and Removal from Office
In executing the duties of their office, board members are expected to carry out applicable laws and regulations as well as League bylaws, mission, policies, principles, positions, standards, and procedures. Board members who do not shall be counseled. See the nonpartisan policy for a procedure. If violations persist, they may be removed from office by a two-thirds vote of the board of directors. A board member may resign at any time by providing written notice to LWV Hays County.
Article V Officers and Directors
Section 1. Enumeration and Election of Officers and Directors
The officers of the LWV Hays County shall be a president, a president-elect, a past president, a first vice-president, a second vice-president, a third vice-president, a secretary, and a treasurer. Additionally, the board shall include six directors, or only those deemed necessary to carry out the work of the League. The officers and directors shall be elected for a term of two years by the general membership at the annual meeting and take office June 1.
The election schedule shall be as follows: the president-elect and the president shall be elected every year; the second vice president, secretary, and two directors shall be elected in even numbered years; and the first vice president, third vice president, treasurer, and two directors shall be elected in odd numbered years. The president-elect may be nominated for president following one year of service and serve as president for one year. Upon completing one year as president, the president will remain on the board for one year as past president. If a president is elected without serving one year as president-elect, that person may be given the opportunity by the nominating committee to serve a second year as president. As many officers as are elected shall share the responsibilities outlined in the remaining sections of this article.
Article VI Financial Administration
Section 2. Dues
Annual dues shall be payable upon joining the LWV Hays County. Renewal of membership shall occur on the date the member joined the League. Annual dues may be changed by a vote of the membership at the annual meeting. Two or more persons who reside at the same household may join the LWV Hays County as household members. Dues for household members shall be one and one-half times the individual dues amount. The annual dues amount shall be at least equal to the LWVTX and LWVUS annual fees, known as per member payments.
Section 3. Budget
Beginning at least two months prior to the annual meeting, the treasurer will work with the executive committee and other members of the board of directors to develop a budget for the following year. The budget shall include support for the work of the League as a whole. Each board member requiring funds to operate during the year shall be responsible for requesting funds and subsequently monitoring and reporting their expenditures. The proposed budget shall be sent to all members of the LWV Hays County one month before the annual meeting. A budget for the ensuing year shall be submitted by the board of directors to the annual meeting for adoption.
Section 4. Financial Audit
A yearly financial audit shall be performed by an ad hoc committee chosen by the board. The committee shall consist of at least one board officer and one off-board person who understands fiduciary responsibilities. The treasurer shall be present to provide financial records and answer questions. The audit results shall be announced at the annual meeting.
